1. Introduction

Welcome to Breakthrough Box. By engaging in our services or accessing our website, you agree to abide by the following terms. These Terms and Conditions outline the obligations and rights between Breakthrough Box (referred to as “we,” “us,” or “our”) and clients (referred to as “you” or “client”) in alignment with Indian legal standards. Please read these terms carefully, as they constitute a legally binding agreement.

2. Services Provided

Breakthrough Box provides full-service marketing solutions including social media marketing, paid advertising, content creation, graphic design, UI/UX, and more. Services are tailored according to the client’s requirements, as outlined in a separate Statement of Work (SOW) or Agreement. Any specific details regarding deliverables, timelines, and pricing will be set forth in the individual client agreement.

3. Client Obligations

Clients are responsible for:
- Providing accurate, timely information and assets needed to fulfill the project.
- Approving deliverables within the agreed timeframe.
- Respecting confidentiality terms regarding proprietary methods or strategies provided by Breakthrough Box.
Delays or additional expenses arising from incomplete or inaccurate information will be the client’s responsibility.

4. Payment Terms

Pricing and Fees: All services will be subject to fees as outlined in the Agreement. Breakthrough Box reserves the right to request advance payments for certain services.
Payment Schedule: Payments may be due upfront, upon milestones, or at intervals as agreed. All invoices must be cleared within 30 days of receipt unless specified otherwise.
Late Payments: In the event of non-payment, we reserve the right to apply late fees, suspend services, or terminate the contract. Non-payment may result in legal action or be handed to a collections agency in compliance with the Indian Contract Act, 1872.

5. Confidentiality and Data Protection

We value client privacy and adhere to the Information Technology Act, 2000, and applicable data protection regulations. All client data and business information will be treated as confidential and will not be disclosed to third parties without prior consent unless required by law.
Clients are also expected to keep confidential any proprietary strategies, tools, or insights provided by Breakthrough Box.

6. Intellectual Property Rights

Ownership of Deliverables: Upon full payment, clients receive usage rights to the final deliverables as specified in the Agreement. Breakthrough Box retains ownership of all design concepts, templates, and underlying IP used in service creation unless explicitly transferred through written agreement.
Content Usage: Breakthrough Box reserves the right to use non-confidential aspects of completed projects in our portfolio, case studies, or promotional materials unless a client requests confidentiality in writing.

7. Limitation of Liability

Scope of Liability: In alignment with Indian laws, Breakthrough Box will not be responsible for any indirect, incidental, or consequential damages, including but not limited to loss of revenue or data. Our total liability shall not exceed the amount paid for services under the specific project causing the claim.
Client Responsibility: The client acknowledges responsibility for decisions taken based on the deliverables provided. Breakthrough Box is not liable for outcomes or business decisions made by clients using our work.

8. Service Termination

Either party may terminate services by providing a written notice, subject to the terms outlined in the Agreement. Grounds for termination may include breach of contract, unfulfilled obligations, or mutual consent.
In the event of termination, the client shall be responsible for payment for all work completed up to the termination date. Refunds or adjustments will be handled per the Agreement terms.

9. Amendments to Terms

Breakthrough Box reserves the right to amend these Terms at any time, and any updates will be posted on our website. Clients will be notified of any significant changes, and continued use of our services constitutes acceptance of the updated Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. In the event of any dispute arising from these Terms, the parties shall submit to the exclusive jurisdiction of the courts in Mumbai, India.
